Quorum <br />At all meetings of the District a simple majority, subject to Title 37, Article 45, Section 114 of the 1973 <br />I Colorado Revised Statutes, shall constitute a quorum for the purpose of transacting business; action <br />may be taken and motions and resolutions adopted by the District at any meeting thereof by the <br />affirmative vote or a simple majority of the total members of the Board. No vacancy' in the membership <br />I ,of the Board shall impair the right of a quorum of the members of the Board to exercise all powers and <br />,perform all the duties of the Board. <br /> <br /> <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br /> <br />notified in accordance with the provision of Article IV, Section 5. If this is done other than by a motion <br />at a meeting of the District, each member shall be notified in accordance with the provisions of Article <br />IV, Section 5. <br /> <br />Section 4. Public Meetings <br />All meetings of the Board of Directors of the District shall be public meetings and open to the public at <br />all times; but the Board of Directors of the District, by majority consent of the members present, may go <br />into an executive session for the consideration of documents or testimony given in confidence but shall <br />not make final policy decisions, nor shall any resolution, motion or any action be adopted or approved <br />at any session of the Board which is closed to the public. <br /> <br />Section 5. Notice <br />Notification required pursuant to this article shall be by first class mail, postage prepaid to each member <br />at the known address as shown by the records of the District, deposited in the United States mail at <br />least five days prior to the meeting, or by telephone two days prior to the date set. <br /> <br />Section 6. Waiver of Notice <br />Anything hereinbefore notwithstanding, the District may hold valid meetings at and without notice, <br />provided that all members shall attend or shall waive notice either prior to or after the meeting., <br /> <br />Section 9 . Voting <br />Voting on all questions at a meeting of the District, shall be by voice vote unless a member requests a <br />roll call vote, in which case the yeas and the nays shall be entered upon the minutes of such meeting. <br />, All members of the Board are entitled to vote, including the President. <br /> <br />Section 10. Resolutions <br />,All resolutions and orders of the District shall be in writing, recorded and authenticated by the signature <br />of the President and the Secretary, shall bear the seal of the District, and shall be contained in both the <br />minute book and the resolutions book of the District. Resolutions shall become effective on the day of <br />passage upon the adjournment of the meeting, unless otherwise stated in the resolution. <br /> <br />All resolutions, the minute book, all orders and other corporate acts of the District shall be public <br />record pursuant to C.R.S., S37-95-105. <br /> <br />ARTICLE V - FISCAL MATTERS <br /> <br />Section 1. Annual Report <br />On or before April first of each year, the Manager shall make an annual report of its activities for the <br />preceding fiscal year to the Board.
