This certificate is delivered in connection with the execution and delivery of a <br />Loan Agreement dated as of February 16. 2006 (the "Loan Agreement") between the Colorado <br />Water Conservation Board ("CWCB") and District acting by and through its water activity <br />enterprise. <br /> <br />2. That the District has been regularly and duly organized under the provisions <br />ofthe general laws ofthe State of Colorado, the Order and Decree (the "Order") of the District Court <br />for the Nineteenth Judicial District in and for Weld County and State of Colorado, declaring the <br />District duly organized, having been entered on July 28, 1965. A copy of said Order was filed in the <br />office of the Clerk and Recorder of Weld County on August 4, 1965. A copy of said Order was filed <br />with the Assessor of Weld County on August 9, 1965. <br />3. The District as originally incorporated has never been consolidated with or <br />annexed to any other special district. <br />4. The official corporate name of the District is the "Central Weld County Water <br /> <br />District." <br /> <br />5. From at least January L 2006, up to and including the date hereof, the <br />following have been and now are the duly chosen, qualified and acting members or officers of the <br />Board of Directors (the "Board") of the District: <br /> <br />Page 1 of 4 <br />
