FINDINGS AND DECREE OF THE WATER COURT

This Application was filed on September 29,2005 and an Amended Application
was filed on October 31, 2005, and was referred to the Water Referee for Water Division
No.7, in accordance with C.R.S. ~ S 37-92-101, et seq. On December 7,2005, the
Application was re-referred to the Water Judge.

All notices required by law of the filing of this Application have been fulfilled
and the Water Judge has jurisdiction ofthis Application. A Statement of Opposition was
filed by Trout Unlimited and the time for tiling Statements of Opposition has passed.

On December 21, 2005, the Division Engineer submitted a Summary of
Consultation and the Court has given it due consideration.

Having made such investigations as are necessary to determine whether the
statements in the Application are true and being fully advised with respect to the subject
matter of the Application;
