<br />e <br /> <br />e <br /> <br />statutory provisions with elections held in even numbered years and conducted in <br />the manner prescribed by Articles 1 through 13, Title 1, and Part 8, Article 1, ,Title <br />32, C.RS. Each Director shall sign an oath of office and, at the expense of the <br />District, furnish a faithful performance surety bond in a sum of not less than <br />$1,000. <br /> <br />b. Director's Performance of Duties. A Director of the District <br />shall perform all duties of a Director, including duties as a member of any <br />committee of the Board upon which the Director may serve, in good faith, in a <br />manner which the Director reasonably believes to be in the best interests of <br />District, and with such care as an ordinarily prudent person in a like position <br />would use under similar circumstances. In performing the Director's duties, the <br />Director shall be entitled to rely on information, opinions, reports, or statements, <br />including financial statements and other financial data, in each case prepared or <br />presented by. persons and groups listed in subparagraphs 1,2 and 3 of this <br />subsection b. The Director shall not be considered.to be acting in good faith if he <br />has knowledge concenting the matter in question that would cause such reliance to <br />be unwarranted. A person who so perfonns the Director's duties shall not have any <br />liability by reason of being or having been a Director of the District. Those <br />programs and group,s upon whose information, opinions, reports, and statements a <br />Director is entitled to rely are: <br /> <br />(I) One or more officers or employees of the District whom <br />the Director reasonably believes to be reliable and <br />competent in the matters presented; <br /> <br />(2) Counsel, public accountants, or other persons as to <br />matters which the Director reasonably believes to be <br />within such persons' professional knowledge or <br />expertise; and <br /> <br />(3) A connnittee of the Board upon which the Director does <br />not serve, duly designated in accordance with the <br />provisions of the By...Laws, as to matters within its <br />designated authority, which committee the Director <br />reasonably believes to merit confidence. <br /> <br />6 <br />
