<br />10/15/98 11 :04 AM ADP Contract <br /> <br />8. ADP may terminate this Agreement for C81use by giving seven (7) days written <br />notice to OWNER. Cause shall exist in circumstances where OWNER has substantially <br />failed to perform in accordance with the terms hereof through no fault of ADP and does <br />not cure its failure to perform within the seven days following the date of the notice. <br /> <br />7.02 REUSE OF DOCUMENTS <br /> <br />A. All documents including Drawings and Specifications prepared or furnished by <br />ADP (and ADP's independent professional associates and consultants) pursuant to this <br />Agreement are instruments of service in respect of the Project and ADP shall retain an <br />ownership and property interest therein whether or not the Project is completed. ADP <br />will provide the OWNER with a reproducible set of record documents at the completion <br />of the Project. OWNER may make and retain copies for information and reference in <br />connection with the use and occupancy of the Project by OWNER; however, such <br />documents are not intended or represented to be suitable for reuse by OWNER on <br />extensions of the Project or on any other project. <br /> <br />8. Any reuse without written verification or adaptation by ADP for the specific <br />purpose intended will be at OWNER's sole risk and without liability or legal exposure to <br />ADP, or to its independent professional associates or consultants, and OWNER shall <br />indemnify and hold harmless ADP and its independent professional associates and <br />consultants from all claims, damages, losses and expenses including attorneys' fees <br />arising out of or resulting therefrom. <br /> <br />7.03 INSURANCE <br /> <br />A. ADP shall procure and maintain insurance for protection from claims under <br />workers' compensation acts, claims for damagE!s because of bodily injury including <br />personal injury, sickness or disease or death of any and all employees or of any person <br />other than such employees, and from claims or damages because of injury to or <br />destruction of property including loss of use resulting therefrom, in the following <br />amounts: <br /> <br />1. Worker's Compensation and Employer's Liability Insurance as required by <br />the State of Colorado. <br /> <br />2. Commercial General Liability-Occurrence <br /> <br />General Aggregate <br /> <br />$500,000.00 <br /> <br />3. Automobile Liability <br /> <br />Combined Single Limit <br /> <br />$500,000.00 <br /> <br />5 <br />
