<br />ARTICLE III -- MANAGEMENT AND COORDINATION <br /> <br />a. The Government shall appoint a representative ~o be responsible for the management of the <br />services to be provided pursuant to this Agreement. <br /> <br />b. The Government representative and the Sponsor shall coordinate all matters relating to the <br />prosecution of the services and compliance with this Agreement, including cost estimates, <br />schedules, prosecution of the work elements, financial transactions and tennination, <br />suspension, or amendment of this Agreement. <br /> <br />ARTICLE VI -- SCOPE OF SERVICES <br /> <br />Appendix A, the Scope of Services, is hereby incorporated into this Agreement. The Parties to this <br />Agreement shall comply with the Scope of Services in carrying out the requested services. <br />Modification to the Scope of Services which increase the cost of the Study or extend the <br />completion schedule for the services for more than 30 days shall require an amendment to this <br />Agreement in accordance with Article XII. <br /> <br />ARTICLE V -- METHOD OF PAYMENT <br /> <br />a. At the beginning of the Study and at the beginning of each quarter thereafter, the <br />Government will provide the Sponsor with statements setting forth the work to be <br />accomplished during that quarter and the associated costs in a manner so as to allow the <br />Sponsor to receive approval for reimbursement of funds from the Federal Emergency <br />Management Agency (hereinafter referred to as "FEMA") managing grant number EMD- <br />2000-GR -0071. <br /> <br />b. The Sponsor shall request FEMA approval under grant number EMD-2000-GR-0071 and <br />disburse the funds necessary to accomplish the work to be performed each fiscal year prior <br />to the obligation of funds by the Government. <br /> <br />c. Should the Sponsor fail to obtain funds sufficient to make obligations or cash payments in <br />accordance with the schedule included in the Scope of Services incorporated herein, it shall <br />immediately notify the Government representative to detennine if the Agreement should be <br />amended, suspended, or tenninated in accordance with the terms of this Agreement. <br /> <br />ARTICLE VI -. DISPUTES <br /> <br />a. The Parties shall negotiate in good faith the resolution of any disputes arising under this <br />Agreement. <br /> <br />b. Pending final resolution of a dispute hereunder, or pending suspension or termination of <br />this Agreement, the Parties shall proceed diligently with the performance under this <br />Agreement. <br /> <br />3 <br />
