FUNDING AGREEMENT

This Agreement, made this _ day of 2000, by and
between the State of Colorado for the use and benefit of the Department of Natural
Resources, Colorado Water Conservation Board, hereinafter referred to as the CWCB or the
STATE, and the U.S. ARMY CORPS OF ENGINEERS, OMAHA DISTRICT, 215 NORTH 17TH Street,
Omaha, Nebraska 68102, hereinafter referred to as the Corps.

A. Authority exists in the law, and funds have been budgeted, appropriated and otherwise
made available and a sufficient unencumbered balance thereof remains available for

B. Required approval, clearance, and coordination have been accomplished from and with
appropriate agencies.

C. Pursuant to Grant Number EMD-2000-GR-Q071 the Federal Emergency Management
Agency approved grant monies for expenditure on floodplain studies within the State of
Colorado under the Cooperating Technical Community (CTC) initiative.

D. The Corps has agreed to assist the CWCB by completing a Flood Insurance Study
revision for the City of Greeley, Colorado, hereinafter refrerred to as STUDY.

Now therefore I in consideration of the mutual and dependent covenants contained
herein, the parties agree as follows:

1. Cooperation of parties. The parties agree to cooperate on the STUDY subject to the
availability of appropriations and in accordance with their respective authorities.

2. STUDY performance. The Corps will hold meetings, perform field investigations,
complete engineering analyses, prepare maps, and submit a final report in accordance with
the Scope of Study attached hereto as Appendix A and incorporated herein.

3. Time of performance. The project will begin upon execution of this agreement and be
completed before September 26, 2001. The Corps shall use its best efforts to complete the
draft products for the STUDY with sufficient time for CWCS and community to review and
provide comments prior to the finish date.

4. Availability of funds. The parties agree that the performance of the STUDY is subject to
the availability of appropriations and that CWCB shall contribute to the costs of the STUDY in
conformity with the laws and regulations governing that party. During the period of
performance, the CWCB shall contribute a total of $19,920 to cover STUDY costs.
