ARTICLE XII -- AMENDMENTS

This Agreement may be amended or modified only upon the written agreement of both
parties.

ARTICLE XIII -- TERMINATION OR SUSPENSION

a. This Agreement shall terminate at the completion of the Study, provided that, prior
to such time and upon sixty days written notice, either party may terminate this agreement
without penalty.

b. Within ninety days upon termination of this Agreement, the Government shall
prepare a final accounting of the costs of the services, which shall display disbursements by the
Government of Federal funds and cash payments by the Sponsor. Within thirty days after the
final accounting, the Government shall reimburse the Sponsor for cash payments that exceed
the total cost of services. Within thirty days after the final accounting, the Sponsor shall
provide the Government any cash payments required to meet the Sponsor's required share of
the total cost of services.

ARTICLE XIV -- EFFECTIVE DATE

This Agreement is effective on the date ofthe signature by both parties, and shall remain in
effect until all services described in the Scope of Services have been provided to the Sponsor,
or upon termination by the Parties.

ARTICLE XV -- SEVERABILITY AND ASSIGNMENT

a. To the extent that this agreement may be executed and performance of the obligations of
the parties may be accomplished within the intent of the Agreement, the terms of this
Agreement are severable, and should any term or provision hereof be declared invalid or
become inoperative for any reason, such invalidity or failure shall not affect the validity of any
other term or provision hereof. The waiver of any breach of a term hereof shall not be
construed as waiver of any other term.

b. Neither party may assign its rights or duties under this agreement without the prior written
consent of the other party.
