<br />ARTICLE III <br />Officers and Their Duties <br /> <br />Section 3.1 The Officers of the Board of Directors as elected by the <br />Membership, shall be a President, a Vice President and a Secretary/Treasurer, each of <br />whom shall hold office for a term of three (3) years and staggered terms shall be <br />implemented. <br />Section 3.2 The initial election tenn is a two-year term for the President, the Vice <br />President is a three-year tenn and the Secretary/Treasurer one-year term, with the <br />succeeding terms to be three years. <br />Section 3.4 Officers shall be elected from the members of the Association in <br />good standing. <br />Section 3.5 The President shall preside at all meetings of the Board of Directors <br />and of the Association. Also, the President, together with Secretary/Treasurer, and the <br />Vice President, shall execute all legal papers, documents and instruments. The President <br />shall appoint all committees. <br />Section 3.6 The Vice President shall act with all powers in the absence or <br />disability of the President. <br />Section 3.7 The Secretary/Treasurer shall, together with the President and Vice <br />President, execute such legal papers, documents, or instruments as authorized. The <br />Secretary/Treasurer shall keep the Minutes of all meeting of the Association and of the <br />Board of Directors. The Secretary/Treasurer shall have charge of the funds and securities <br />of the Association, and shall cause them to be deposited in depositories approved by the <br />Board of Directors. He/She shall see that accurate records are kept of the funds and shall <br />make monthly repOlts to the Board of Directors. The Secretary/Treasurer and one other <br />board member will sign all checks for the Association. <br />Section 3.8 The Secretary/Treasurer who is responsible for handing Association <br />funds shall be bonded. <br /> <br />ARTICLE IV <br />Committees <br /> <br />Section 4.1 A Nominating Committee shall be comprised of three (3) members <br />(appointed by the President), and the Board of Directors will be appointed two (2) <br />months prior to the annual meeting, to nominate a candidate(s) to stand for election at the <br />annual meeting. <br />Section 4.2 Any other committee may be appointed by the President or the Board <br />of Directors as needed. <br /> <br />ARTICLE V <br />Election and Voting <br /> <br />Section 5.1 Terms of office of the Board of Directors shall be three (3) years and <br />commence at the end of the annual meeting. <br /> <br />2 <br />
