<br />Agenda <br /> <br />? <br /> <br />Welcome and Introduction s <br />? <br /> <br />Start review, discussion and approval of the Bylaws <br />? <br /> <br />Approaches to handling appropriations and funding, and establishment of a working <br />group (Working Lunch) <br />? <br /> <br />Review of roles for the IBCC and clarification of concrete actions for the Committee to <br />take in t he next six months <br />? <br /> <br />Date for the next IBCC meeting <br /> <br />Welcome and Introductions <br /> <br />th <br />Eric Hecox introduced the 6 governor’s appointee to the committee, Peter Binney. <br /> <br />Review of the Draft Bylaws <br /> <br />The facilitation team reviewed the general sections and contents of the bylaws as a prelude to <br />committee discussion, and reported on the process of revising the bylaws to reflect IBCC <br />conversations on the charter during the previous three meetings. The group then raised issues of <br />specific substantive concern and discu ssed potential changes. In some cases, concerns were <br />raised and the facilitation team has suggested edits to address these concerns in the revised draft <br />accompanying these notes. <br /> <br />Items Discussed/Revised: <br /> <br />Alternates and Proxies: The Committee discussed the use , merits and drawbacks of alternates <br />and proxies and decided to define both in the bylaws so that individual roundtables and <br />members, where appropriate, could make decisions concerning which they prefer to use to <br />accommodate situations where regula r representatives to the IBCC are unable to attend. The <br />bylaws specify that proxies are to be used during decision making, and count in the tabulation of <br />votes when the group makes the decision to move from seeking broad general level of support to <br />voting , and in the subsequent vote on the issue before the committee. The bylaws were amended <br />to specify that proxies can only be used if the member who has given their proxy is not already <br />represented by an alternate. <br /> <br />Quorum: Section 5.6 defines a quorum as 2/3 of the members of the committee, to include <br />members attending by telephone and alternates. A sentence was added to the bylaws to clarify <br />that p roxies are not included in a quorum. <br /> <br />Properly N otified: Members noted that the phrase “properly notified” a s used in Article VI, <br />Decision Making, was not defined in the document. Properly notified has been added to <br />definitions, and defined to mean that a member has been sent the email meeting notification to <br />the most recent address on file with the Office of C ompact Negotiations . <br /> <br />Tenure: After discussion, members elected to remove the bylaws section dealing with tenure. <br /> <br /> 2 <br />
