Re: Attorney Opinion Letter; Loan Contract with Colorado Water Conservation Board

Dear Mr. Hastings:

As counsel for the Town of Coal Creek, and at your request, I am providing you the
following information in conjunction with the proposed loan contract with the State of Colorado,
Colorado Water Conservation Board.

THE CONTRACT HAS BEEN DULY EXECUTED BY OFFICERS OF THE
BORROWER WHO ARE DULY ELECTED/APPOINTED AND ARE AUTHORIZED
TO EXECUTE THE CONTRACT AND TO BIND THE BORROWER

Resolution No.6-Series 2003 was dilly and lawfully adopted by the Town of Coal Creek
Trustees on May 21, 2003. Such resolution provides that the Mayor of the Town, Charles
Hastings, is authorized and empowered to execute the subject contract on behalf of the Town of
Coal Creek. The resolution was voted upon and passed by the Town Trustees. The Trustees are
the governing body of the Town of Coal Creek and are authorized to grant the Mayor power to
enter into a contract on behalf of the Town of Coal Creek. The Mayor is a duly elected official
of the Town.

RESOLUTION DULY ADOPTED BY THE GOVERNING BODY OF THE BORROWER
AUTHORIZING THE EXECUTION AND DELIVERY OF THE CONTRACT

Resolution NO.6-Series 2003 was duly adopted by the Town of Coal Creek Trustees on
May 21, 2003. Such resolutiori~rovides that the Town of Coal Creek shall execute the subject
contract. The Trustees are the governing body of the Town of Coal Creek and are authorized to
execute and deliver the subject contract on behalf of the Town of Coal Creek.
