Re: Addendum to May 22, 2003 Attorney Opinion Letter; Loan Contract between Town of
Coal Creek and Colorado Water Conservation Board

Dear Ms. lllian:

The purpose of this letter is to supplement the previous attorney opinion letter submitted to your
organization by my client, Town of Coal Creek, Colorado, dated May 22, 2003. Since such time,
the Town Trustees duly and lawfully adopted two additional resolutions on June 18, 2003 to
more fully clarify the establishment of the water activity enterprise of the Town and to more
fully describe the obligations of the Town under the subject contract.

More specifically, Resolution No.7, Series 2003, ratified the water activity enterprise that has
been historically in operation. Resolution No.8, Series 2003, provided for the assumption by the
Town Water Enterprise Fund of certain obligations incurred by the Town as a result of the
subject contract.

Both resolutions were voted upon and passed by the Town Trustees on June 18, 2003. As
mentioned in my earlier correspondence, the Trustees are the governing body of the Town of
Coal Creek and have the power and authorization to adopt such resolutions. The Town shall be
forwarding you copies of the newly adopted resolutions shortly.
