<br />ARncLE VIII <br />ACCOUNTS <br /> <br />8.01. Books and Records. <br /> <br />The Members shaU maintajn or cause to be maintained appropriate books and records <br />with respect to the Company's affairs at the Company's principal office Of other offices. Each <br />Member shall have rights of access to information regarding the Company as set forth in the Act <br />or otherwise required by law. <br /> <br />8.02. Reports, Returns and Financial Statements. <br /> <br />The books of account shall be closed promptly after the end of each fiscai year. On or <br />before the 90th day thereafter. the Members shall cause the jndependent public accountants <br />employed by the Company to prepare and furnish to each Member the required Internal Revenue <br />Code documents for the preparation of their respective tax returns. <br /> <br />8.03. Tax Returns. <br /> <br />The Members shall prepare or cause to be prepared aU federal, state and local tax retums <br />of the Company for each year for which such returns are required to be filed. To the extent <br />pennilted by law. for.pwposes of preparing such returns, the Company shall use the fiscal year. <br />The Members may (but need not) make any elections under the Code, including the election <br />under Section 754 of the Code,and the Members shall be absolved from an liabitity for any and au <br />consequences to any previously admitted or subsequenUy admitted Members resulting from its <br />making or failing to make any such efection. <br /> <br />8.04. Tax Matters Member. <br /> <br />Keystone Triple G Ranch UP, Hilde GII Kaiser, shall be the "tax matters Member" as that <br />tenn is defined in Section 623 l(a)(7) of the Code. In the event of an income tax audit of any <br />Company return. to the extent the Company is treated as an entity for purposes of the audit. <br />including administrative settlement and judicial review, the tax matters Member shall be <br />auIhorized to act for and represent the Company, and to enter into a s..Allement agreement within <br />the meaning of Section. 6224(c)(1) of the Code (or comparable provisions under state or local <br />law) to which each Member agrees to be bound.
