2.01. Fonnation.
The Company has been formed by the Members by the filing of the Articles of
Organization in accordance with the Act

2.02. Offices.

The principal office of the Company shaH be at C/O Hilde GiN Kaiser, 11213 West Asbury
Avenue, Lakewood, Colorado 80227. The Company may operate at such additional offices as the
Members shall deem advisable.

2.03. Purpose.
The purposes for which the Company has been fanned have been and shan be to
purchase, own, develop, build, manage, lease, or sell certain real and personal property
(8P8Cfk;aIy water A!lCharge projects for augmentation of Members agricultural water needs and
water rights and other rights appurtenant thereto) located in the County of Washington, State of
Colorado and upon any such sale of said real property, to invest and reinvest the proceeds
thereof in such investments as deemed appropriate by the Members. The Company may enter
into such conIracIs. agreements. ventIBes. or arrangeA1eIlb. witt such oIher persons as may be
deemed necessary or advisable by the Members to accomplish any of its purposes. The
Company 8han carry on any other lawful business or activity which may be conducted by a linited
liability company under the Act which is approved by all of the Members.
2.04. Term.
The Company shall continue in fuB force and effect in perpetuity unless terminated
pursuant to the prOVisions of this Agreement.
2.05. Name.
The name of the Company shall be "FL GILL H20, llC."
2.06. Registered Agent and Office.
The name and address of the registered agent for service of process shall be George M.
Straw, 2043 York Street, Denver, Colorado 80205. In the event the registered agent ceases to
act as such for any reason. the Members shall promptly appoint a substitute ~ agent and
file the appropriate notice of a change with the Colorado Secretary of State.
