ARTICLE I - ORGANIZATION
Section 1. The name of this Corporation shall be the Tilton Lateral,
Inc. The Corporation is anon-profit corporation organized under the laws
of the State of.Colorado. ~

Section 2., The principal office of the corporation shall be located in
Mesa County ,Colorado, ,as -shall be determined~ by the Board of Directors
,and registered with the Colorado Secretary of state from time to time.

Section 3. The provisions of these By-laws are applicable to all persons
\ presently being served by the Tilton lateral ditch system located in Mesa
, <;,(:ounty,' Colorado, and more particularly described below. All present and
future owners, their tenants and future tenants, presently being served
j'J..by,the Tilton lateral ditch system are subject to the regulations set forth
<, in:theArticles of Incorporation and these By-laws.

ARTICLE II - PURPOSE
Section 1. This corporation is organized for agricultural purposes in
order to.better transport irrigation water to its shareholders by doing
everything necessary, suitable or proper for the construction, operation
and maintenance of the Tilton lateral ditch system and its lateral branches
, as more particularly described in Article III herein.

Section 2. '1'0 build, construct, maintain,. repairs, clean and manage a
ditch system to the best interests of land owners who have property and
,water shares in ,the Grand Valley Mainline Canal ,and who have either
participated in the original cost or have purchased property with water
.rights in the present lateral as more particularly described in Article
III herein.

Section 3. Members shall consist of property owners in good standing, who
own water shares in the Grand Valley Mainline Canal and who have either
participated in the original cost or purchased property with water rights
in the existing lateral.

Section 4. As of the date of incorporation, the reasonable capacity of
the Tilton Lateral, Inc. ditch system is accepted to be shares
via Grand Valley Mainline Head gate '160.

ARTICLE III. TILTON,LATERAL SYSTEM DEFINED.
Section 1. Main Ditch. The main ditch shall commence at Headgate '160 of
the Grand Valley Irrigation Company Canal; Then South to the access road
of 1-70 by-pass; then westerly to the southeast corner of the Memorial
Gardens Cemetery; South under North Avenue; continuing South under 1-70
By-pass (highway 6 & 24), the D & RGW railroad to the South edge of the
D & RGW railroad right-of-way; Then South along the west line of the East
half of the Northeast Quarter of Section 17, Township 1 South, Range 1
East, Ute Meridian to D 1/2 Road. The Til ton Lateral ditch system has four
