RE: Upper Colorado River Project
Grant Approval

Dear Taylor and Lane,

I am pleased to inform you that the Colorado Water Conservation Board (CWCB) has
approved your grant. We understand the grant will be used for completion of Phase 2 of
the Upper Colorado River Project Study.

The Board recommended a grant from the Severance Tax Operational Account in
amount of $25,000. All grant funds must be expended by June 30, 2000. I have attached
a copy of the updated Board memo concerning the Northwest Colorado Council of
Governments. Please refer to page 4 of that memo and to the section "Action taken by
the CWCB January 26, 2000."

When the Board approved the grant from the Severance Tax Operational Account there
remained several conditions:

a) An updated Scope of Work is required. The scope of work should provide a step-by-
step description of the work to be done and the detailed budget for completion of
Phase 2 of the study. The updated scope of work and budget must be approved by
the CWCB staff prior to dispersal of the grant.

b) An approved purchase order must be in place before funds can be advanced. John
Van Sciver will contact you concerning our procedure, which usually takes about 4
weeks to complete.
