<br />(I) The principal office of the company shall be
<br />located in the town of Rocky Ford, Otero County,
<br />Colorado.
<br />However. the company may own properties in
<br />other counties providing the same is owned and
<br />acquired for the express purpose of supplying wa-
<br />ter to its slockholdeIS for irrigation and domestic
<br />purposes within the Counties of Otero and Pueblo.
<br />Slale of Colorado.
<br />(m) The filSl canal, the conslnlction of which is
<br />contemplated by said company, starts in Pueblo
<br />County, Colorado, at a point on the south bank of
<br />the Arkansas River approximately four hundred
<br />(400) feel west of the comelS of sections eighl (8),
<br />nine (9), sixteen (16) and seventeen (17), lown-
<br />ship twenty-one (21) south, range sixty-one (61)
<br />west, thence in a southeaslerly direction through
<br />sections sixteen(l6). twenty-two (22), twenty-six
<br />(26), thirty-five (35) and thirty-six (36), lownship
<br />twenty-one (21) south, range sixty-one (61) west,
<br />thence in a southeasterly direction on a grade of
<br />one and fifty-eight hundredths feet per mile to
<br />Timpas Creek. thence in an easlerly direction
<br />through the county of Otero and the western por-
<br />tion of Bent County to the Purgatorie River; and
<br />the said canal is 10 have a carrying capacity of one

<br />(0) Notwithstanding anything else in theseAr-
<br />ticles of Incorporation or in the By-laws, slock.
<br />holdeIS may lease water to which they an: entitled
<br />by virtue of their ownership of stock in the Com-
<br />pany, for use for any purpose at any location ap-
<br />proved by the Board of Directors, and such leased
<br />water may be delivered to such lessees at the
<br />headwOJi<s or wasteways of the Company or at such
<br />other locations as such leases may provide. The
<br />provisions of Section 3 of Article IV of the By-
<br />laws regarding change of place of water delivery,
<br />shall apply to any such leases. Further, as implied
<br />in said Section 3, the Board of Directors shall have
<br />the power to approve such leases subjecl to rea-
<br />sonahle lenns and conditions which may be nec-
<br />essary to avoid reduction in water or inconvenience
<br />to non-leasing slockholders.
<br />(p) The Anicles of Incorporation and the by-
<br />laws of the company may only be amended by twOo
<br />thirds vote of the outstanding shares either at an
<br />annual meeting of the slockholders or at a special
<br />meeting of the stockholders called for that puipose

<br />writing as their free and voluntary act for the uses
<br />and purposes therein set forth.
