improvements to improve efficiency of the river to deliver water to the point of diversion.

Cost Estimate

The Montezuma County Office of the NRCS has prepared engineering designs and cost
estimates for the Project. The NRCS Preliminary Design report and detailed cost estimate are
included in Appendix D.

The estimated cost of the Project 6-~e cost breakdown is summarized in Table 1.

Implementation Schedule

The NRCS is expected to complete the final design by May 2005. Construction is expected to
begin October, 2005 and to be completed 2005.

Permitting

All easements and rights of way have been secured. The Company expects to be exempt from
404 permitting by Statutory exemption, 33 CFR Section 323.4(a) 3. This will be confirmed with
the Army Corps of Engineers.

Institutional Considerations

Entities that are, or may be, involved in the design, construction, and financing of the project
include:

· Sheek Ditch Company; financing, construction and project management.
· Natural Resources Conservation Service (NRCS); 75% cost share, design, construction
supervision and inspection.
· Colorado Water Conservation Board (CWCB); financing.
