The purpose of this letter is to notify you of CWCB final
acceptance of the Feasibility Study.

The next step in our process is to obtain a signed Loan Contract between the County and the State of
Colorado. An approved contract must be in place before loan funds can be advanced. Jan TIlian,
CWCB Contract Administrator, will be contacting you in the near future to initiate the loan contract
process. For future reference, Jan's phone number is 303-866-3462.

Also, in reviewing our December 12, 2001 letter notifying the County of CWCB loan approval,
other conditions of loan approval that will need to be satisfied are:

1. Successful formation ofthe proposed Dry Creek Stormwater Utility Enterprise.
2. An agreement between the County and Larimer-Weld Irrigation Company regarding the
payment terms for the Company's share of the project costs.
3. Obtaining all required permits for the project.

Please keep us apprised on the status of these items during the contract process. Based on our
previous discussions as well as the schedule in the Feasibility Study, we are proceeding on the basis
that we want to have the CWCB contract in place by November 2002.

Regarding project design and construction, the project will need to adhere to the CWCB Design and
Construction Administration Procedures. Tim Feehan, Construction Project Coordinator, will be
contacting you about the CWCB requirements concerning project design, bidding, and construction.

Flood Protection.
