thereof, a majority of the members prese nt may adjourn the meeting without further notice. <br />Given the diverse geography and climate of the Arkansas River Basin, the c hairman may, at <br />his or her sole discretion, declare that a quorum does not exist if adverse weather conditions <br />may have reasonably prevented members from one region of the Arkansas River Basin from <br />attending a meeting. <br />B. Special Actions <br /> 1) Election of Interbasin Compact Committee r epresentatives. For purposes of <br />election of Interbasin Compact Committee r epresentatives, the q uorum requirement <br />shall be three - fourths of the v oting m embers of the Roundtable duly appointed and in <br />good standing, calculated as the whole number equal to or the next whole number less <br />than the sum of the Number of v oting m embers multiplied by .75 (for examp le, if <br />there are 52 v oting m embers, the calculation 52 x .75 = 39, therefore the number for a <br />quorum is 39 members; if the Roundtable has 54 v oting m embers, 54 x .75 = 40.50, <br />then the quorum is 40 members). <br /> 2) Approval or a mendment of the b ylaws. For p urposes of approving or amending <br />the b ylaws, the q uorum shall be three - fourths (.75) of the v oting m embers of the <br />Roundtable duly appointed and in good standing. <br /> <br />Section 8. Action by Consent of All Members . Any action required to be taken, or which may b e <br />taken at a meeting of the Roundtable may be taken without a meeting, if consent in writing, setting <br />forth the action so taken, shall be signed by all of the m embers entitled to vote with respect to the <br />subject matter thereof. Such written consent or con sents shall be filed with the minutes of the <br />Roundtable. Such action by written consent of all entitled to vote shall have the same force and effect <br />as a unanimous vote of such m embers at a meeting at which a quorum is present. As an alternative to <br />physi cal delivery of written consent, any signed document may be delivered in electronic form by <br />facsimile or electronic mail subject to verification by physical signature of that individual to the <br />consent recorded with the minutes within a reasonable time afte r the electronic delivery of the <br />signature. <br /> <br />Section 9. Subcommittees, Sub - Roundtables or Other Mechanisms . The Roundtable shall have <br />the ability to establish committees, sub - roundtables or other mechanisms to facilitate dialogue and <br />resolution of issues and conflicts within the b asin. These mechanisms may be permanent or <br />temporary, and may be established to negotiate compacts, examine negotiated compacts, develop <br />projects, represent geographically different area within the Roundtable a rea, or any other reason the <br />Roundtable sees fit. Membership on committees shall not be restricted, any m ember may participate, <br />therefore the Roundtable should honor the work of a committee. <br /> <br />Section 10. Attendance at Meetings . If a m ember of the Roundtable has two conse cutive <br />unexcused absences (as agreed administratively by the Roundtable, for example, inclement weather) <br />from regular meetings of the Roundtable, or three unexcused absences from regular meetings within <br />any twelve (12) month period, it shall create a presu mption that such member is neglecting his or her <br />duties as a member . If the truant m ember is a m ember appointed pursuant to Article IV, Section 2, <br />A.
