THIS CONTRACT, made and entered into as of this ;2 f~

PURGATOIRE RIVER WATER CONSERVANCY DISTRICT, a water con-

. servation district organized and existing within Las Animas
County under the laws of the State of Colorado, hereinafter
called the "District", and THE MODEL LAND AND IRRIGATION CO.,
a mutual ditch company organized and existing under the laws

of the State of Colorado, hereinafter called the "Company",

WITNESSETH:

WHEREAS, the United States of America, acting through
the Corps of Engineers, the Department of the Army, proposes
under the provisions of the Flood Control Act of 1958 (PL .85-500
.~2 Stat. 297) as amended by Public Law 89-298, 1965 (79 Stat.
1079) and House Document No. 325, 84th Congress, Second

Session, to construct and operate the Trinidad Dam and Reser-
voir Project (hereinafter called "Project"), a multiple pur-
pose project which will provide flood control, irrigation,
recreation and fish and wildlife benefits within the District

and Las Animas County; and
WHEREAS, under the requirements of said House Document
No. 325, construction of the Project may not commence until a
repayment contract between the United states of America, (here-
inafter called the United states) and the District shall have

been executed which provides for the regulation and distribution

of the waters of the Purgatoire River through the operation of
the Project, and th~ repayment by the District to the United
States of the irrigation first cost of the Project (pre-
sently estimated at $6,435,600.00) together with the annual
