Subject: Grant Application

Dear Mr. Lile:

The Grand Valley Water Users Association (Association) has been approached by
the Bureau of Reclamation working on behalf of the Recovery Program for
Endangered Fish of the Upper Colorado River to study and then implement the
Grand Valley Water Management Study/Project.

The Association does not embrace the idea of or need to recover these
endangered fish species, but understands that such recovery efforts is prescribed
by federal law. However, the Association has cooperated, thus far with the Water
Management Study.

Funding of future operation and maintenance costs has been a big issue of
concern of the Association. Now we understand that the State of Colorado
through the possible establishment of a grant or trust fund made by the Colorado
Water Conservation Board may be the vehicle for the Association to receive
payment of the operation and maintenance costs that are created by operation of
the Grand Valley Water Management Project.

The Board of Directors, at their November 7, 1996 board meeting gave approval
for the Association to submit a grant application that can be used for funding of
said project. By submitting the enclosed grant application, the Association is
showing interest in looking at possible ways to implement funding of the proposed
project. However, there are many other issues that must be considered as well.
Therefore, the Association reserves the right to make the final decision at a later
date on signing a contract.
