Re: CWCB Loan Contract C150012

Dear Bill:

Pursuant to our telephone conversation last week, Model requests the release of the
parcels ofland described on attached Exhibit A from the deed of trust held by the Colorado Water
Conservation Board pursuant to the above loan contract. Except for Parcel 3, the legal
descriptions on the attached Exhibit A are from the pending sale contracts for the land. No sale
contract has yet been signed for Parcel 3, but Model does intend to sell this land. Therefore, to
save the time of all parties, we are requesting release of Parcel 3 in advance. Model is not seeking
to sell Parcels 7 and 8 listed on the deed of trust Exhibit A because Parcel 8 is in the middle of the
Oxley Farm and Parcel 7 is Model's headgate on the Purgatory River.

In addition to the lands listed on attached Exhibit A, Model requests release of the two
water rights associated with the old Johns Flood Ditch as follows:

1. 1.25 cfs of the Lewelling-McCormick Ditch January 1, 1864, water right (Item 3
on the water right listing of Exhibit A to the CWCB deed of trust).

2. 2.0 cfs of the Hoehne Ditch October 7, 1865, water right (Item 4 of the water
right listing of Exhibit A to the CWCB deed of trust).

47% of these water rights is being sold with Parcels 4 and 9, and 57% of these water rights is
being sold with Parcel 6.
