I have reviewed the above referenced contract. In my opinion, <br />the contract has been duly executed by the officers of Upper Surface Creek Domestic <br />Water Users Association who have been elected and are authorized to execute the <br />contract and to bind the company. The resolutions of the Company authorizing the <br />execution and delivery of the contract were duly authorized by the Company's board of <br />directors. There are no provisions in the Company's articles or by-laws or any state or <br />local law which would prevent this contract from binding the company.
