After discussion and review of the documents Director
Petrocco moved that the Board approve the documents and the terms of the loan
contained therein and direct President King to execute said documents.

The Board then turned to the request of Qwest for a crossing in the Public Right-
of-Way East of 120th Avenue, Director Petrocco moved that a letter be sent informing
Qwest that the line must be at least 6-feet below the invert of the ditch in order to protect
the line during ditch cleaning and to protect the ditch from any increase in seepage.
Director Blackhurst seconded said Motion and it passed unanimously.

The next matter to be considered by the Board was the request of Brighton Prairie
Center for a crossing North of 120\11 Avenue, After a brief review of the provided plans
Director Blackhurst moved that the plans be sent to Chris Crowley at Tetra Tech RMC
for engineering review, and that the crossing be approved subject to engineering
approval, the payment of a $3,000 crossing fee and execution of the appropriate permit.
Director Petrocco seconded said motion and it passed unanimously,

Director Blackhurst then moved that Mr. Steele survey crossing and stock transfer
fees among other South Platte Ditch Companies, Director Petrocco seconded said motion
and it passed unanimously.

The next matter to come before the Board was that of Central Colorado Water
Conservation District ("Central") and the City ofNorthglenn's request to allow Central to
utilize the City's augmentation station during the 2004 irrigation season. Director
Blackhurst moved that the request be granted and that a letter be sent to Northglenn and
Central setting forth that permission was granted for only one year, that Central would
not be allowed to augment any of its 202 shares previously owned and historically
augmented through the Branch Ditch, through Northglenn's gate, and that Northglenn
alone direct Mr. McDonald as to the operation of the gate, Director Petrocco seconded
said motion and it passed unanimously with Director Schmidt abstaining.

Ditch Superintendent George McDonald then reported that Aggregate Industries
wanted to be on the May agendato discuss the placement of a conveyance in the Bull
Seep at 104\11 Avenue.

Attorney Steele reported that it might be possible to have loan distribution from
CWCB for the Spillway by the June meeting.

The final matter taken up by the Board was that of stock transfers. Mr. Steele
reported that Forrest Schmidt had brought in copies of all of the relevant documents to
have his deceased mother's shares transferred to he and his brother, but that the original
documents had not been received. Director Blackhurst moved and Director Petrocco
seconded that the transfer be approved subject to the submission of the necessary original
documents and attorney approval. The motion passed unanimously.

As to the remaining transfers Director Petrocco moved and Director Blackhurst
seconded that the following transfers be approved:

Transferred from:

Richard M.
