RESOLUTION 2003-1

BE IT RESOL YED by the stockholders of THE LAKE MEREDITH

RESERVOIR COMPANY that an assessment be and the same is hereby levied on each

and every share of the common stock of our said Company in the amount of

to be collected in 2003, the proceeds of which

shall be used for the purpose ,of paying the costs of maintaining, operating, superintending,

repairing, improving, altering, constructing the reservoirs, canals, headgates, diversion

dams, waste gates, flumes and other structures and property of our company during the

year 2003, and for the purpose of improving our entire system, as may in the opinion of

the Board of Directors of our said Company be necessary during the year 2003 to

maintain the proper and efficient operation and protection of our system, and for

furnishing and delivering water to the stockholders of our said Company during the year

2003, and for all other proper purposes in connection with the management, operation and

protection of our said Company.

BE IT FURTHER RESOL YED that the Board of Directors of our said Company

may call all or any portion of this assessment for payment on such date or dates during the

year 2003 as the Board of Directors of our said Company shall in its discretion detennine

shall be necessary, and thatthe Board of Directors be and it is hereby authorized to fix the

date or dates after which such sums so called by it shall be delinquent.

BE IT FURTHER RESOL YED that any portion of said assessment that has not

been called for payment on or before December 3 1, 2003, shall be abated.
