hereinafter referred to as the State. and'2 the Upper Yampa Water Conservancy

WHEREAS. authority exists in the Law and Funds have been budgeted. appropriated and otherwise made

WHEREAS. pursuant to the provi~1l 1lA60_ll9. Colorado
Revised Statutes. the State i t ~~oan money for the
construction of water projec~: e benefit of the people of
the State; and "l.\':~

WHEREAS. section 1 (1) (a) of chapter 405. Session Laws of
Colorado 1983. authorized the Colorado Water Conservation
Board. subject to the conditions set forth in section 1 (1) (d)
of the said act. to construct or cause to be constructed the
Stagecoach Dam and Reservoir and associated site developments.
hereinafter referred to as the project; and

WHEREAS. the Contractor and the State. acting through the
Colorado Water Conservation Board. entered into a contract on
April 15. 1987. contract encumbrance number C-153491.
hereinafter referred to as the original contract. to loan money
to the Contractor for the construction of the project. which
original contract is attached hereto and by this reference
incorporated herein; and

WHEREAS. the amount of money which the Colorado Water
Conservation Board is authorized to loan for the construction
of the project has been increased to Eight Million Dollars
($8.000.000). or fifty percent of the project's total eligible
costs. whichever is less. by section 2 of Senate Bill 15. 1987
Session; and

WHEREAS. the State is prepared to increase its loan to the
District for the construction of the projec~o Seven Million
Nine Hundred Thousand Dollars ($7.900.0~ ject to the
availability of appropriations for t~ e. said sum being
fifty percent of the project's total ~ Ie 1fs~

NOW THEREFORE, in coosideration ~fi(1~1h'and dependent
covenants contained herein and in ~~ i~nal contract. it is
agreed by the parties hereto as fol~ .

1. In paragraph A,I. of the original contract. delete the
words "Six Million six Hundred Thousand Dollars ($6.600.000)"
as they appear twice in that paragraph and insert in lieu
thereof each time the words "Seven Million Nine Hundred
Thousand Dollars ($7.900.000)".

2. Delete paragraph B.17. in its entirety from the original
contract and insert in lieu thereof the following new paragraph:

"17. a. So long as paragraph B.17.b. is not
applicable. the Contractor shall repay to the
State Seven Million Nine Hundred Thousand
Dollars ($7.900.000) with interest thereon at
the rate of 5 percent (5\) per annum. such
interest to begin accruing on November 15 of
