<br />AMENDMENT No.1 TO CONDITIONAL ASSIGNMENT OF CONTRACT PROCEEDS

<br />This Amendment to the Conditional Assignment of Contract Proceeds is between the
<br />Assignor and Assignee.
<br />
<br />The Original Conditional Assignment of Contract Proceeds was to secure repayment of
<br />the indebtedness evidenced by the Loan Contract and Promissory Note, both dated October 1 ,
<br />2001, for a loan amount of $100,000.
<br />
<br />The Assignor borrowed only $56,787.30, and the parties have agreed to amend the
<br />Original Conditional Assignment of Contract Proceeds to reflect the actual annual loan of
<br />$56,787.30.
<br />
<br />NOW THEREFORE, the CWCB and Grantor agree that:
<br />
<br />1. The first full paragraph of the Original Conditional Assignment of Contract Proceeds is
<br />amended by the addition of the following:
<br />
<br />The Assignor and Assignee hereby agree that the actual loan amount is $56,787.30, and
<br />the Assignor has executed a Promissory Note dated November 1, 2004, to secure the
<br />repayment of the indebtedness.
<br />
<br />2. In the event of any conflict, inconsistency, variance, or contradiction between the provisions
<br />of this amendment and any of the provisions of the original deed of trust, the provisions of
<br />this amendment shall in all respects supersede, govern, and control.
<br />
<br />3. Any provisions of the original deed of trust not expressly modified herein remain in full force
<br />and effect.
<br />
