<br />.' <br /> <br />(h) Establish schedules of charges and assessments <br />necessary to offset all costs of the Association and for <br />the delivery of water, either directly to its members or <br />to other vested water rights for the benefit of its <br />members, or for the provision of water pursuant to a plan <br />for augmentation or substitute supply plan, and to <br />collect such water charges and assessments from it's <br />members. Such costs shall include all administrative and <br />other costs associated with such water supplies <br />including, but not limited to, costs of obtaining,. <br />maintaining, and defending or protecting such water <br />supplies. Such costs shall also include, but are not <br />limited to, fees of engineers, attorneys, or other <br />consultants, costs of litigation or other judicial or <br />administrative proceedings, and system development and <br />maintenance costs. <br /> <br />The foregoing clauses shall be construed both as objects <br />and powers and shall not be held to limit or restrict in any <br />manner the general powers of AGUA, and the enjoyment and <br />exercise thereof, as conferred by the laws of the State of <br />Colorado. <br /> <br />2. Powers: In furtherance of the foregoing purposes, AGUA <br />shall have and may exercise all of the rights, powers and <br />privileges now or hereafter conferred upon non-profit <br />corporations organized under the laws of the state of <br />Colorado. In addition, it may do everything necessary, <br />sui table or proper for the accomplishment of any of its <br />purposes. <br /> <br />THIRD <br />Duration <br /> <br />AGUA shall have perpetual duration. <br /> <br />FOURTH <br />Memberships <br /> <br />A member of AGUA shall be a person, corporation, group, or <br />body politic or other entity of any kind, owning or operating wells <br />situated within the Arkansas River Basin and accepted for <br />membership in AGUA. <br /> <br />1. voting Rights: Cumulative voting shall not be <br />permitted.
