Dear Mr. Walter:

Enclosed is AGUA's copy of the contract for the loan to Arkansas Water Users Association, a
state warrant in the amount of $590,590 for the purchase of 1,007 shares of stock in the
Excelsior Irrigating Company, and Certificate No. 5 for the 1,007 shares. The following
documents will be needed at the time of closing for the purchase of the shares.

Appendix 4 - Deed of Trust. This document must be executed by the vice-president,
attested by the corporate secretary, the seal affixed, the date of execution filled in, and the
signature of the vice-president notarized. Please have this deed of trust recorded with the
Pueblo County Clerk and then returned to me,

Appendix 5 - Security Agreement. This document must be executed by the vice-president,
attested by the corporate secretary, the seal affixed, and the date of execution filled in.

Appendix 6 - Stock Assignment. This assignment must be executed by the vice-president,
attested by the corporate secretary, the seal affixed, and the date of execution filled in.

After the closing is completed, please return to me the original Security Agreement, the original
Stock Assignment, a copy of the executed deed of trust, and Certificate No. 7 issued in the
name of AGUA and CWCB. The original deed of trust should have instructions for the Pueblo
County Clerk to return the document to me after it is recorded.
