<br />In consideration for the above, Riverside agrees to transfer unto <br />GASP 32 acre feet of augmentation credits for each Riverside <br />Contract Right transferred to it by GASP for the irrigation <br />season. The parties agree that the augmentation credits being <br />transferred to GASP shall be evenly spaced throughout the <br />irrigation season commencing with the month of April and <br />concluding with the month of October. Further the parties agree <br />that they may mutually modify the monthly transfer of the <br />augmentation credits to GASP upon mutual agreement of the <br />parties. Each party agrees to execute such transfer orders as may <br />be necessary for the books and records of the respective <br />companies, thus exchanging and transferring their respective <br />interests for each irrigation season during the term of this <br />agreement. It being the intent of the parties to execute such <br />transfer orders as may be necessary on or before March 1 of each <br />irrigation season commencing with the irrigation season of 1997. <br /> <br />3. Riverside will make available to GASP on or before March <br />1 of 1997 and each irrigation season thereafter, written records <br />sufficient to demonstrate the availability of the augmentation <br />credits to be transferred to GASP during the ensuing irrigation <br />season. <br /> <br />4. The parties agree that neither party may assign any part <br />or all of this agreement to another without first receiving the <br />express written consent of the other party hereto. <br /> <br />5.
