��c I �g716 � � 9�� ��� �� ' �" � �N <br />� �r�annosFCRrrnrv�Frrnrr <br />CERTIFICATE OF CONVERSION ����l����i����4 <br />SOUTFI SIDE IRRIGATION AND RESERVOIR COMPANY r.�-� �Z <br />The Certificate of Conversion, approved by the South Side Irrigation and Reservoir Company on <br />the 18 day of November, 2002, pursuant to §7-90-201(5) of the Colorado Corporations and <br />Associations Act, is presented to #he Office of the Secretary of State of Colorado to convert the <br />South Side Irrigation and Reservoir Company into a Colorado Ditch and Reservoir Company <br />governed by the Colorado Business Corporation Act and the Colorado Ditch and Reservoir Act. <br />The South Side lrrigation and Reservoir Company, as the converting entity, makes the following <br />statement of conversion: <br />1. The name, state or jurisdiction under whose laws the converting entity is organized and <br />the form of the converting entity are as follows: <br />The South Side irrigation and Reservoir Company ("Corporation"), is a <br />corporation that was incorporated under the State of Colorado laws on January 31, <br />1906, and bears the Colorado Secretary of State entity identification number <br />19871041929. The converting entity was formed as a company to acquire <br />reservoirs, canals and water rights and all appurtenant property and facilities and <br />to operate and develop these reservoirs and canals for the benefit of the members <br />of the Corporation. The Corporation is organized as a Corporation Not for Profit <br />under §7-40-101, et. seq., C.R.S. <br />2. The address of the converting entity is: c/o M. Stephen McMillan, Treasurer, 1612 West <br />First Street, Loveland, CO 80537. <br />3. The name, state or jurisdiction under whose laws the resulting entity is reorganized, and <br />the form of the resulting entity aze as follows: South Side Xrrigation and Reservoir <br />Company, a Colorado Corporation governed under the Colorado Business Corporation <br />Act (§7-101-101, et. seq., C.RS.) and the Colorado Ditch and Reservoir Act (§7-42-101, <br />et. seq., C.R.S.). <br />4. The address of the resulting entity is: c/o M. Stephen McMillan, 1612 West First Street, <br />Loveland, CO 80537. <br />5. The conversion and the Certificate of Conversion were duly advised, authorized, and <br />approved by the stockholders of the Corporation at a special meeting of the stockholders <br />of the Corporation, duly noticed and called in accordance with the Articles of <br />Incorporation and By-la.ws of the Corporation..:� More than two-thirds of votes of the <br />Corporation's stockholders, which were present at the special stockholders meeting held <br />on November 18, 2002, consented to the conversion. of the Corporation from a Colorado <br />Not for Profit Corporation to a Colorado Ditch and Reservoir Company governed under <br />the Colora.do Business Corporation Act. At least a two-thirds vote of the stockholders <br />present in person or by proxy at a stockholders meeti.ng was required to approve this <br />conversion pursuant to §7-90-201(4)(c)(III) of the Colorado Corporations and <br />Associations Act. <br />-�' .-�M�. .
