<br />SPECIAL WARRANTY DEED
<br />
<br />THIS SPECIAL WARRANTY DEED, made this day of
<br />2002, between the MANVEL CANAL AND IRRIGATION COMPANY, County of Prowers, State of Colorado,
<br />GRANTOR, and the LOWER ARKANSAS WATER MANAGEMENT ASSOCIATION, a non-profit corporation
<br />duly organized and existing by virtue of the laws of the State of Colorado, whose legal address is P. O. Box 1161,
<br />Lamar, Colorado 81052, County ofProwers, State of Colorado, GRANTEE:
<br />
<br />WITNESSETH, that the GRANTOR for good and valuable consideration, the receipt and
<br />sufficiency of which is hereby acknowledged, has granted, bargained, sold, and conveyed, and by these presents
<br />does grant, bargain, sell, convey, and confIrm, unto the GRANTEE, its successors and assigns forever, all of
<br />GRANTOR's right, title, and interest in and to the real property, situate, lying, and being in the County ofProwers,
<br />State of Colorado, described as follows:
<br />
<br />1. The water right for 54 cfs for irrigation purposes out of the Arkansas River with an
<br />appropriation date of October 14, 1890 and adjudication date of July 1, 1895; and
<br />
<br />2. Any water stored in the Manvel Canal and Irrigation Company's Account in John Martin
<br />Reservoir arising under Article II of the 1980 Operating Plan for John Martin Reservoir,
<br />which plan was fIrst adopted as a Resolution of the Arkansas River Compact
<br />Administration on April 24, 1980, and amended on May 10, 1984, and December 11,
<br />1984.

<br />TOGETHER with all and singular the hereditaments and appurtenances thereto belonging, or in
<br />anywise appertaining, and the reversion and reversions, remainder and remainders, rents, issues, and profIts thereof
<br />and all the estate, right, title, interest, claim, and demand whatsoever of the GRANTOR, either in law or in equity,
<br />of, in, and to the above-bargained property, with the hereditaments and appurtenances.

<br />TO HAVE AND TO HOLD the said property above bargained and described with the
<br />appurtenances unto the GRANTEE, its successors and assigns forever. The GRANTOR for itself, its heirs and
<br />personal representatives or successors, does covenant and agree that it shall and will warrant and forever defend the
<br />above-bargained property in the quiet and peaceable possession of the GRANTEE, its successors and assigns,
<br />against all and every person or persons claiming the whole or any part thereof, by, through, or under the
<br />GRANTOR.

<br />IN WITNESS WHEREOF, the GRANTOR has executed this deed on the date set forth above.
