<br />CERTIFICATE OF DISTRICT <br /> <br />Groundwater Management Subdistrict <br />of the Central Colorado Water Conservancy District <br />Weld, Adams and Morgan Counties, Colorado <br /> <br />The undersigned hereby certify that we are, respectively, the duly qualified, and <br />acting President, Secretary, Executive Director, and District Counsel of the <br />Groundwater Management Subdistrict of the Central Colorado Water Conservancy <br />District, Weld, Adams and Morgan Counties (together, the "Counties"), Colorado (the <br />"District"), and in connection with the execution by the District of Contract between the <br />Colorado Water Conservancy Board and the District, Contract No. C 150117 (the <br />"Contract"), certify that: <br /> <br />1. The District is a duly and regularly created, organized and existing quasi- <br />municipal corporation and political subdivision of the State of Colorado existing as such <br />under and by virtue of the constitution and laws of the State of Colorado. <br /> <br />2. The official corporate name of the District is "Groundwater Management <br />Subdistrict of the Central Colorado Water Conservancy District." <br /> <br />3. From July 1982, to and including the date hereof, the Executive Director <br />and Secretary of the District is Thomas V. Cech. <br /> <br />5.
