Acting in this <br />capacity, members of the firm have attended all Subdistrict Board Meetings, and <br />advised the District regarding the appointment of new Board members, the election of <br />Board officers, and the passage of resolutions. Based upon this experience, and upon <br />our review of: (1) Board meeting minutes for January 21, 2003 and July 15, 2003; (2) <br />District Court Orders appointing all current Board members; (3) the Resolution <br />authorizing the loan, dated July 15, 2003; (4) Contract C150117; and (5) all other <br />documents deemed by us to be relevant to the opinions set forth in this letter; we <br />conclude that as of the current date and under existing law: <br /> <br />1. Contract No. C150117 has been duly executed by Officers of the Subdistrict who <br />were duly appointed and are authorized to execute the contract and bind the <br />Subdistrict. <br /> <br />2.
