Va~~n~5_~~~ When any vacancy in the Board <br />shall occur by reason of death, resignation, or otherwise, <br />the remaining members of the Board or a majority of them <br />shall have the power to fill such vacancy; provided, however, <br />that any vacancy in the Board of Directors may be filled by <br />the stockholders at a special meeting call for that purpose. <br />An Director chosen to fill a vacancy shall serve until the <br />next election of Directors or until his successor is elected. <br /> <br />Section 6. The Board <br />may also elect or appoint such other officers and assistant <br />officers as may be determined by the Board. Any two or more <br />offices may be held by the same person. Each officer so <br />elected or appointed shall continue in office until his <br />successor shall be elected or appointed and shall qualify, or <br />until resignation, removal, death or other disqualifications. <br />The President shall be a member of the Board of Directors; <br />the other officers mayor may not be either Directors or <br />stockholders. <br /> <br />Section 2. R~signati~~ ~ng Re~ova]~ Any officer may <br />resign at any time by giving written notice thereof to the <br />Board of Directors or to the Chairman of the Board.
