<br />'"'-'"" <br /> <br />of the corporation are proposed to be increased, at least <br />thirty (30) days notice in like manner shall be given. The <br />notice of all meetings shall state the place, day, and hour <br />thereof. The notice of a special meeting shall. in addition, <br />state the purposes thereof. <br /> <br />Section 5. ~Qrum~ The holders of a majority of the <br />shares issued and outstanding and entitled to vote thereat <br />shall when present in person or represented by proxy be <br />requisite to and shall constitute a quorum at all meetings of <br />stockholders for the transaction of business except as <br />otherwise provided by statute, by the Articles of <br />Incorporation, or by these By-Laws. In the absence of a <br />quorum at any such meeting, a majority of the stockholders <br />present in person or represented by proxy and entitled to <br />vote thereat may adjourn the meeting from time to time <br />without further notice until a quorum shall be present or <br />represented. <br /> <br />Section 6. YQlt!!.&... At every meeting of shareholders <br />each stockholder having the right to vote shall be entitled <br />to vote .in person or by proxy executed in writing by such <br />stockholder or by his duly authorized attorney in fact; <br />provided, however, that no such proxy shall be valid after <br />eleven (11) months from the date of its execution, unless <br />such proxy expressly provides for a longer period. <br /> <br />--.,./ <br /> <br />Section 7. EL~ing Record pa~~ The Board of Directors <br />shall have in their discretion authority to fix in advance a <br />date, not less than ten (10) no more than fifty (50) days <br />preceding the date of any meeting of stockholders, or the day <br />for payment of any dividends, as a record date for the <br />determination of the stockholders entitled to notice of, and <br />to vote at. any such meeting and any adjournment thereof, or <br />entitled to receive any such dividend, and in such case only <br />such stockholders as shall be stockholders of record on the <br />date so fixed shall be entitled to notice of, and to vote at, <br />such meeting and any adjournment thereof, or to receive <br />payment of such dividend, as the case may be, notwithstanding <br />any transfer of any shares on the books of the corporation <br />after any such record date is fixed as aforesaid. <br /> <br />Section 8. ~rde~ 9-f Busines~ The order of business at <br />the annual meeting, and so far as is practicable at all other <br />meetings of the stockholders, shall be as follows: <br /> <br />,-,. <br /> <br />1.
