Appendix 3A, Shareholders' Resolution: Deleted because the corporation's board <br />members constitute the sole owners of the corporation, and they will sign the <br />resolution marked as Appendix 3B in the standard contract, but renamed <br />Appendix 3 in this contract. <br /> <br />3. Appendix 4, Security Agreement: The collateral description is modified with <br />references to assessment revenues deleted and a reference to the pledged property <br />inserted. Further references to assessment revenues are removed in this <br />appendix. <br /> <br />I sent the unsigned contract and appendices to Phil Holtmann for his review on <br />December 3, 2004. I indicated in the transmittal email that Linda Bassi reviewed the <br />contract. As of this date, the modified contract has not been approved by Phil <br />Holtmann. <br />
