<br />3, The general superintendent is hereby empowered to prescribe reasonable rules <br />regulating the use ofwaterfrom the company's ditches not inconsistent with these <br />by-laws or with the laws of the State of Colorado. <br /> <br />SECTION 6 <br />SECRETARY <br /> <br />1, It shall be the duty of the Secretary to correctly record the proceedings of <br />stockholders' and trustees; meetings in a book to be kept by him for that purpose <br />and to attest all by-laws and written contracts. <br /> <br />2, He shall also file and preserve the company's papers and correspondence and <br />all bonds entered into by the officers of the company and upon being tendered a <br />reasonable fee therefore, shall make a certified copy of any company record, <br />paper, file or by-~w for the use of the person tendering the fee. <br /> <br />3. The secretary shall prepare a list of all voting shares and have the same available <br />at the annual meeting. <br /> <br />4, He shall also perform such other duties as are usually required of secretaries of <br />ditch companies. <br /> <br />5. It shall especially be the duty of the secretary to collect all moneys due the <br />company from persons who fail to make a voluntary payment to the treasurer, <br /> <br />6, Shares of company stock shall not be otherwise transferred or assigned than by <br />endorsement to that effect upon the company's stock book, which it is hereby <br />made the duty of the Secretary to provide and keep and which shall be subject to <br />inspection at all reasonable times by interested persons. <br /> <br />SECTION 7 <br />POWERS OF THE BOARD OF TRUSTEES <br /> <br />1. The Board of Trustees shall have the general supervision of the company's <br />business, may enact and repeal by-laws, may remove any officer for <br />incompetency or neglect of duty or for other good cause and may require all <br />officers of the company to give bond for the faithful discharge of their duties, <br /> <br />3 <br />
