Dear Mr. Russell:

The Bull Creek Reservoir and Canal Company ("Reservoir Company") has determined to
proceed at this time with the rehabilitation and enlargement of Reservoir No.4, and has
submitted an application to the Colorado Water Conservation Board ("CWCB") for a loan in the
amount of$I.2 million for this work. This amount exceeds the $599,940 loan approved by the .
CWCB on September 14,2004 for the enlargement of Reservoir Nos. 1 and 2 and rehabilitation
of Reservoir No.4. The Reservoir Company agrees to the deauthorization ofthe 2004 loan in
consideration of the CWCB's approval of the $1.2 million loan for the rehabilitation and
enlargement of Reservoir No.4.

The Reservoir Company appreciates the CWCB's assistance, and looks forward to
working with the CWCB to ensure the success ofthe project.
