Water and Sewer Enterprise <br /> <br />Ladies and Gentlemen: <br /> <br />We are attorneys admitted to practice in the State of Colorado, and we have acted as counsel <br />to the Town of New Castle, Colorado ("Town") and the Town of New Castle, Colorado, Water and <br />Sewer Enterprise ("Enterprise"), a public agency and government-owned business, which have <br />executed a Loan Contract, Promissory Note and Security Agreement ("Loan Contract") with the <br />Colorado Water Conservation Board ("CWCB"), and have acted as such in connection with the <br />authorization, execution, and delivery by the Town and the Enterprise of the Loan Contract. <br /> <br />In so acting, we have examined the Constitution and laws ofthe State of Colorado. We have <br />also examined originals or copies certified or otherwise identified to our satisfaction of the <br />following: <br /> <br />A. Proceedings of the governing body of the Town and the Enterprise relating to the <br />approval, authorization, execution, and deliver of the Loan Contract. <br /> <br />B.
