CO 80203 <br /> <br />Re: Town of Hillrose Attorney Opinion Letter Pursuant to Paragraph A.7 <br />of Loan Contract C 150 178 <br /> <br />To Whom It May Concern: <br /> <br />As Town Attorney for the Town of Hillrose, Colorado (Borrower), I have examined <br />the proposed Loan Contract C150178 (the Contract) between Borrower and the <br />Department of Natural Resources, Colorado Water Conservation Board (CWCB), <br />as presented to me under cover dated December 2, 2004. Based upon my <br />examination as I have deemed necessary and appropriate, I am of the opinion <br />that: <br /> <br />1. Borrower is a body corporate and politic, legally existing under the <br />laws of the State of Colorado (the State). <br />2. The Contract and the proceedings have been duly adopted, <br />authorized, executed, and delivered by Borrower, and do not require <br />the seal of Borrower to be effective, valid, legal, or binding. <br />3. The members of Board of Trustees, as the officers of Borrower, were <br />duly elected or appointed and are authorized to execute the Contract <br />and to bind Borrower. <br />4. The Board of Trustees, as the governing body of Borrower. has <br />complied with all applicable open public meeting and notice laws and <br />requirements with respect to the meeting at which the proceedings <br />were adopted and Borrower's execution of the Contract was <br />authorized. <br />5. The resolutions and ordinances of Borrower authorizing the execution <br />and delivery of the Contract were duly adopted by Borrower. <br />6. The Contract will be a legal, valid, and binding obligation against <br />Borrower if entered into by the CWeB, enforceable by the CWCB in <br /> <br />
