Director, ewes

September 29, 199U~

Town of Johnstown
Attn: Diana Seele, Town Clerk
P. O. Box 609
Johnstown, CO 80419-3550

SUBJECT: Contract C153719

Dear Ms. Seele:

The Town of Johnstown entered into a contract with CWCB on November 7, 1996 for a
loan in the amount of $2,542,500. The project was substantially complete as of June 30,
1999; however the town used only $1,948,932.60 of the available loan funds. Enclosed is
an amendment to the loan contract to establish the correct loan amount and the loan
payment due date of July 1 starting in the year 2000.

The contract amendment documents include a promissory note which replaces the
promissory note provisions previously contained within the contract, an amended security
agreement, and a revised assignment of certificate of deposit, all of which are written to
reflect the loan amount of $1 ,948,932.60.

Currently, the security for the loan is a certificate of deposit in the amount of $147,033.03.
For the amended loan contract, the amount of the certificate of deposit should be
$112,706.97 (the amount of one annual payment). Please let me know when you would
like to replace or reduce the certificate of deposit and I will assist with transmitting the
original certificate of deposit to the bank.

If you are satisfied with all of the documents, please have the mayor execute, the town
clerk attest, and the town seal affixed to all four copies of the contract amendment, the
promissory note, the assignment of certificate of deposit (if you elect to replace the
certificate of deposit at this time), and the amended security agreement.

After you return the amendment documents, it takes approximately 2-4 weeks for the
State Controller to review and approve the documents. I will provide the town with an
original for its files.
