<br />. <br /> <br />. <br /> <br />8. All meetings of the Board relating to the execution and delivery of the Loan <br /> <br /> <br />Documents have been open to the public at all times pursuant to Sections 24-6-401 to 402, C.R.S. <br /> <br /> <br />9. No referendum petition concerning the Ordinance or any other ordinances, <br /> <br /> <br />resolutions or other proceedings of the Board concerning the Loan Documents or the uses of the <br /> <br /> <br />proceeds of the Loan Documents has been filed, and to the best of our knowledge, none is being <br /> <br /> <br />circulated or is planned for circulation. <br /> <br /> <br />10. To the best of our knowledge, none of the persons named in paragraphs 4 and <br /> <br /> <br />5 above, nor any other officer of the Town, has any pecuniary or other prohibited interest, direct or <br /> <br /> <br />indirect, in the profits of any contract or job for work or services to be performed, nor have such <br /> <br /> <br />persons solicited or received any pay, commission, money or anything of value or derived any <br /> <br /> <br />benefit, profit or advantage, directly or indirectly, in connection with the Loan Documents or the <br /> <br /> <br />uses ofthe proceeds of the Loan as provided in the Ordinance. <br /> <br /> <br />11. The undersigned Mayor and Town Clerk have duly manually executed and <br /> <br /> <br />attested, respectively, the Loan Documents, and the seal of the Town has been impressed on the <br /> <br /> <br />Loan Documents. <br /> <br /> <br />12. To the best of our knowledge, the Town has complied with all the agreements <br /> <br /> <br />and satisfied all the conditions on its part to be performed or satisfied under the Loan Documents <br /> <br /> <br />at or prior to the date hereof. <br /> <br /> <br />13. The authorization, execution and delivery of the Loan Documents by the <br /> <br /> <br />Town, the observance and performance by the Town of its duties, covenants, obligations and <br /> <br /> <br />agreements thereunder and the consummation of the transactions contemplated therein do not and <br /> <br /> <br />will not contravene any existing law or result in a breach or violation of any of the terms and <br /> <br /> <br />provisions of, or constitute a default under, any outstanding instruments relating to the bonds, notes <br /> <br /> <br />or other indebtedness of or relating to the Town. <br /> <br /> <br />14. There is no reason within our knowledge why the Town may not deliver the <br /> <br /> <br />Loan Documents. <br /> <br /> <br />15. This certificate is for the benefit of the owner of the Loan Documents. <br /> <br />3 <br />
