Lower agrees to promote inclusion of additional lands into the District and
will initiate steps to permit a more balanced board made up of other
irrigation companies in the District.

Central and Lower agree not to sell water derived from the Narrows Water
Project outside of the boundaries of the two districts (Central and Lower)
without prior written approval from the other parties to the contract.

All parties to the agreement will have input into the development of the
operating criteria for the Narrows Project.

The Irrigationist's, Northern, Riverside and Public Service agree to
withdraw their objections in the Narrows diligence proceeding.

The agreement is an enforceable contract between the parties.
