<br />lGO~: <br /> <br />G. Payment <br /> <br />Reclamation will reimburse to the District the funds programmed <br />for each fiscal year on a quarterly basis in accordance with the <br />annual work plan and approval of a detailed cost invoice. The <br />District shall submit detailed schedules from the annual work <br />plan and associated cost estimates each year to the Technical <br />Representative of the Eastern COlorado Area Office, Bureau of <br />Reclamation, 201 W 8th St., Suite 720, Pueblo, Colorado 81003. <br />After acceptance and approval Reclamation will establish and <br />maintain appropriate records to document the transactions for the <br />completion of the annual work plan. <br /> <br />The expenditure of any money or the performance of any work done <br />by Reclamation or NRCS pursuant to this agreement, which may <br />require appropriation of money by the District, shall be <br />contingent upon an approved annual work plan and such <br />appropriation being made. It is further agreed that any contract <br />authorized pursuant to this agr~ement shall be modified or <br />adjusted so as to reflect the actual level of appropriated funds <br />available in any fiscal year. <br /> <br />All payments maoe by Reclamation pursuant to this agreement shall <br />be in accordance with the requirements and guidelines as set <br />forth in OMB Circular A-110. <br /> <br />H. MODIFICATION <br /> <br />The parties to this agreement may mutually modify and/or extend <br />this agreement and any such modification or extension shall be <br />confirmed in writing prior to performance or change. <br /> <br />I. TERMINATION <br /> <br />Either party may terminate this agreement upon 30 days written <br />notice to the other party. If termination of this agreement is <br />initiated by Reclamation, Reclamation shall pay for all work <br />which, in the exercise of due diligence, the District is unable <br />to cancel prior to the effective date of termination. Payments <br />made under this agreement, including payments under this article, <br />shall not exceed the ceiling amount elsewhere specified in the <br />agreement. <br /> <br />J. LIABILITY <br /> <br />NRCS and the District agree that they' will assume liability, <br />pursuant to Colorado law, for the negligence of its employees or <br />agents in carrying out the provisions of the work. NRCS and the <br />District agree to hold Reclamation harmless in regard to any <br />damages caused by the employees or agents of NRCS in performing <br />work financed under this agreement.
