PROJECT CONTRACT

THIS CONTRACT is made this day of ,
198 , by and between the State of Colorado for the use and
benefit of the Department of Natural Resources (Colorado Water
Conservation Board), hereinafter referred to as the state and the
Conejos Water Conservancy District, P.O. Box 40, Manassa,
Colorado 81141, hereinafter referred to as the contractor, or the
Borrower.

WHEREAS, authority exists in the law and funds have been
budget, appropriated and otherwise made available and a suffi-
cient unencumbered balance thereof remains available for payment
in Fund Number G/L Account Number Contract Encum-
brance NUmber - ; and

WHEREAS, required approval, clearance and coordination has
been accomplished from and with appropriate agencies; and

WHEREAS, pursuant to the provisions of ~37-60-119, colorado
Revised Statutes, the state is authorized to loan money for the
construction of water projects for the benefit of the people of
the state; and

WHEREAS:

1. Borrower is a conservancy district in the State of
Colorado,

2. Borrower desires to purchase Platoro Reservoir from the
United states,

3. Platoro Reservoir was constructed in 1951 by the United
States Bureau of Reclamation as the Conejos Unit of the San Luis
Valley Project,

4. P1atoro Reservoir is the subject of a reclamation
repayment contract between Borrower and the Bureau of Reclamation
for irrigation purposes,

5. The Bureau of Reclamation is Willing to sell P1atoro
Reservoir by way of a contract for the "Full Lump-Sum Payment of
the Reimbursable Construction Costs Allocated to Irrigation and
Transfer of Title to Project Facilities to the District", subject
to approval by Congress,

6. The price of the Full Lump-Sum Payout is $500,000.

WHEREAS, pursuant to Senate Bill No. 15, First Session of
the Fifty-Sixth General Assembly of the State of Colorado duly
enacted into law, the Colorado Water Conservation Board has been
authorized to loan and grant the sum of $500,000, $400,000 of
